Vendor Terms
Agreement Between Bakerï and Its Vendors

Effective Date: October 11, 2026

1. Definitions

1.1 In these Vendor Terms, the following capitalized terms have the meanings set out below:

2. Interpretation

2.1 Headings are for convenience of reference only and do not affect the interpretation of these Vendor Terms.

2.2 The words "include," "includes" and "including" are deemed to be followed by the words "without limitation."

2.3 Words importing the singular include the plural and vice versa.

3. Acceptance and Scope

3.1 These Vendor Terms govern the Vendor's use of the Platform to operate a Storefront, whether or not the Vendor offers Products for sale.

3.2 These Vendor Terms are supplemental to the Terms of Service and the Privacy Policy. In the event of any conflict or inconsistency concerning the offer or sale of Products, these Vendor Terms shall prevail to the extent of the conflict or inconsistency.

3.3 The Vendor accepts these Vendor Terms by indicating its agreement within the Platform. The Vendor's offer or sale of any Product constitutes its continuing acceptance of these Vendor Terms.

4. Relationship of the Parties

4.1 The Vendor is an independent seller. Nothing in the Agreement creates any employment, partnership, joint venture, franchise or agency relationship between the Vendor and Bakerï.

4.2 Bakerï provides software tools for the operation of Storefronts and facilitates payment processing through Stripe. Bakerï is not the seller of any Product, is not a food vendor, and is not a party to any transaction between the Vendor and a Buyer.

4.3 Bakerï does not inspect, test, certify, approve or guarantee any Product.

5. Representations and Warranties of the Vendor

5.1 The Vendor represents and warrants to Bakerï that:

6. Obligations of the Vendor

6.1 The Vendor is solely responsible for the quality, safety and legality of all Products offered through its Storefront.

6.2 The Vendor shall comply with all laws, regulations and requirements applicable to its business and Products, including those governing food safety, food handling, labelling, and home-based or cottage food production.

6.3 The Vendor shall not offer any Product that is illegal, unsafe, or otherwise prohibited by applicable law.

6.4 The Vendor is solely responsible for determining, collecting, reporting and remitting all taxes applicable to its sales.

7. Listings and Product Information

7.1 The Vendor shall ensure that all Product names, descriptions, photographs, prices and order terms displayed on its Storefront are accurate, complete and not misleading.

7.2 Where a Product is a food item, the Vendor shall ensure that all ingredient and allergen information is accurate and complete.

7.3 Bakerï does not review or verify listings and assumes no responsibility for their content or accuracy.

8. Payments

8.1 Payment Processing by Stripe. All payments made through the Platform are processed by Stripe. Bakerï is not a payment processor, bank or money services business, and does not itself process, hold or transmit payments.

8.2 The Vendor's Stripe Account. Direct Deposit is a Stripe account established in the Vendor's own name. The Vendor's use of Direct Deposit is governed by Stripe's applicable agreements, which form a separate agreement between the Vendor and Stripe to which Bakerï is not a party. Stripe may, in accordance with its agreements, verify the Vendor's identity, request information from the Vendor, delay or withhold payouts, establish reserves, or suspend or close the Vendor's Stripe account.

8.3 Direct Deposit Required to Sell. No Product shall be displayed on a Storefront until the Vendor has connected Direct Deposit. Links, email signup forms and free downloads may be displayed on a Storefront without Direct Deposit.

8.4 Products Paid at Checkout. Ready-Now items, Pre-Order items, digital downloads and physical products are paid for in full by the Buyer at the time of checkout.

8.5 Custom Orders. No charge is made to a Buyer upon submission of a Custom Order request. Payment becomes due only when the Vendor issues a quote containing a payment link, whereupon the Buyer pays the quoted amount in full.

8.6 Receipt of Funds. Payment for each Order is made to the Vendor's Direct Deposit account at the time the Buyer pays. Stripe disburses those funds to the Vendor's designated bank account in accordance with Stripe's payout schedule. Bakerï does not receive, hold or control the proceeds of any sale, other than the service fee described in Section 9.

8.7 Payment Issues and Remedies. Any matter concerning the processing of a payment, the availability or timing of a payout, a hold, reserve or withheld amount, account verification, or the suspension or closure of the Vendor's Stripe account is a matter between the Vendor and Stripe. The Vendor shall seek any remedy in respect of such matters directly from Stripe. Bakerï may, at its discretion, provide reasonable assistance, but is under no obligation to do so and shall have no liability in respect of any such matter.

9. Fees

9.1 Bakerï charges a service fee equal to five percent (5%) of the amount of each sale made through a Storefront.

9.2 Stripe's payment processing fees are separate from, and in addition to, the Bakerï service fee.

9.3 All fees are deducted automatically from the proceeds of each sale. No separate invoice shall be issued to the Vendor in respect of such fees.

9.4 Bakerï may amend its fees upon notice to the Vendor given before the amendment takes effect.

10. Fulfillment

10.1 The Vendor shall fulfill every Order it accepts, in the manner and within the time stated on its Storefront or in its quote.

10.2 Where the Vendor offers pickup, the Vendor's pickup address shall be disclosed to a Buyer only after that Buyer has placed an Order requiring pickup. The Vendor is responsible for maintaining an accurate pickup address.

10.3 Where the Vendor ships physical products, the Vendor is responsible for packaging, for the shipping charges it sets, and for delivery of the Order to the Buyer.

11. Pre-Orders and Custom Orders

11.1 A Pre-Order item is paid for at checkout in the same manner as a Ready-Now item and differs only in the date on which it is provided to the Buyer. The Vendor shall clearly state the pickup or shipping date on each Pre-Order listing.

11.2 Each quote the Vendor issues for a Custom Order shall clearly state the price, the items included, and the date on which the Order will be ready.

12. Delivery

12.1 Where the Vendor delivers Orders itself:

13. Cancellations, Refunds and Disputes

13.1 The Vendor shall establish its own refund and cancellation policy and shall make that policy available to Buyers before they place an Order.

13.2 The Vendor is responsible for issuing all refunds. Where the Vendor cancels an Order after the Buyer has paid, the Vendor shall refund the Buyer in full.

13.3 Payment disputes and chargebacks initiated by a Buyer are administered by Stripe in accordance with its procedures. The Vendor shall respond to any such dispute promptly and truthfully, through Stripe. Any disputed amount, together with any associated dispute fee, may be deducted by Stripe from the Vendor's Direct Deposit balance.

13.4 The Vendor shall promptly notify the affected Buyer and Bakerï of any food safety concern, injury or other serious incident involving an Order of which the Vendor becomes aware.

14. Buyer Information and Marketing Communications

14.1 The Vendor shall use Buyer information solely for the purpose of fulfilling Orders and for communications to which the Buyer has consented, and shall comply with all applicable privacy laws.

14.2 The Vendor shall send commercial electronic messages only to Buyers who have consented to receive them, shall comply with all applicable anti-spam laws, including Canada's Anti-Spam Legislation (CASL), and shall include a functioning unsubscribe mechanism in every such message.

15. Indemnification

15.1 The Vendor shall indemnify, defend and hold harmless Bakerï and its officers, directors, employees and agents from and against any and all claims, demands, actions, damages, losses, liabilities, costs and expenses, including reasonable legal fees, arising out of or relating to:

16. Limitation of Liability

16.1 Bakerï shall have no liability in respect of any Product, listing, delivery or Order, or in respect of any dispute between the Vendor and a Buyer.

16.2 Bakerï shall have no liability for any act or omission of Stripe, including any error, delay, hold, reserve, withheld or reversed payment, payout failure, or suspension or closure of the Vendor's Stripe account, or for any loss of funds arising therefrom.

16.3 The limitation of liability set out in the Terms of Service applies to these Vendor Terms.

17. Suspension and Termination

17.1 Bakerï may remove any listing, suspend the Vendor's ability to sell, or close the Vendor's Storefront where the Vendor breaches the Agreement or applicable law, or where Bakerï reasonably believes that a Storefront presents a risk to Buyers.

17.2 Where reasonably practicable, Bakerï shall notify the Vendor of the reason for such action and afford the Vendor an opportunity to remedy the matter.

18. Amendments

18.1 Bakerï may amend these Vendor Terms from time to time. Bakerï shall give the Vendor notice of any material amendment through the Platform or by email before the amendment takes effect.

18.2 The Vendor's continued use of the Platform to offer or sell Products after the effective date of an amendment constitutes acceptance of the amended Vendor Terms.

19. General

19.1 Survival. Sections 6, 13, 14, 15, 16 and 20, and any other provision which by its nature is intended to survive, shall survive the termination of the Agreement.

19.2 Severability. If any provision of these Vendor Terms is held to be invalid or unenforceable, that provision shall be severed and the remaining provisions shall continue in full force and effect.

19.3 No Waiver. No failure or delay by Bakerï in exercising any right under the Agreement shall operate as a waiver of that right.

19.4 Assignment. The Vendor may not assign the Agreement without the prior written consent of Bakerï. Bakerï may assign the Agreement in connection with a merger, acquisition or sale of all or substantially all of its assets.

19.5 Notices. Bakerï may give notice to the Vendor through the Platform or by email to the address associated with the Vendor's account.

19.6 Entire Agreement. The Agreement constitutes the entire agreement between the Vendor and Bakerï with respect to its subject matter and supersedes all prior agreements and understandings relating thereto.

20. Governing Law

20.1 These Vendor Terms are governed by and shall be construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles.
